1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you (either an individual or an entity, referred to as "you," "your," or "User") and Pingalaa LLC ("we," "us," "our," or "Company") concerning your access to and use of the Chiti.ai website (chiti.ai, docs.chiti.ai) and AI-powered document generation service.

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy.

2. Eligibility

To use the Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Maintain the security of your account credentials

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Service

Chiti.ai provides an AI-powered document generation service that enables users to:

• Upload document templates with variable placeholders ({{variable}} syntax)
• Provide prompts describing projects, products, or ideas
• Generate professional documents with AI-filled variables
• Export documents in PDF or Word format
• Store and manage templates and generated documents

The Service utilizes third-party AI providers (OpenAI and Anthropic) to process your content and generate documents.

4. User Accounts

4.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4.3 Account Termination

You may terminate your account at any time by contacting us at support@pingalaa.com. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service for lawful business and personal purposes, including:

• Creating professional documents (PRDs, specifications, proposals)
• Generating content based on your original ideas and information
• Storing and managing your templates and documents

5.2 Prohibited Use

You agree NOT to use the Service to:

• Illegal Activities: Engage in any illegal or fraudulent activity
• Harmful Content: Generate content that is defamatory, obscene, harassing, threatening, or violates third-party rights
• Intellectual Property Infringement: Infringe on copyrights, trademarks, patents, or other intellectual property rights
• Malicious Code: Upload viruses, malware, or any malicious code
• Unauthorized Access: Attempt to gain unauthorized access to our systems or other users' accounts
• Scraping or Automation: Use automated tools to access the Service without permission
• Reverse Engineering: Reverse engineer, decompile, or disassemble any part of the Service
• Spam or Abuse: Send unsolicited communications or abuse the Service
• Misinformation: Generate deliberately false or misleading content for deceptive purposes
• Impersonation: Impersonate any person or entity
• Competitive Use: Use the Service to build a competing product or service

6. Content and Intellectual Property

6.1 Your Content

"Your Content" means any templates, prompts, documents, or other materials you upload, submit, or generate through the Service.

You represent and warrant that:

• You own or have the right to use all Your Content
• Your Content does not infringe on third-party rights
• Your Content complies with these Terms and applicable laws

6.2 License to Your Content

You retain ownership of Your Content. By using the Service, you grant us a limited, non-exclusive, worldwide license to:

• Process Your Content through our AI providers to generate documents
• Store Your Content on our servers (AWS S3)
• Display Your Content to you within the Service
• Create backups for disaster recovery

We do NOT:

• Claim ownership of Your Content
• Use Your Content to train AI models (per agreements with OpenAI and Anthropic)
• Share Your Content with third parties except as necessary to provide the Service
• Use Your Content for marketing without your explicit consent

6.3 AI-Generated Content

Content generated by our AI service is based on your prompts and templates. You acknowledge that:

• AI-generated content may not be unique and could be similar to content generated for other users
• You are responsible for reviewing and verifying all AI-generated content
• We do not guarantee the accuracy, completeness, or quality of AI-generated content
• You should not rely solely on AI-generated content for critical decisions without human review

6.4 Our Intellectual Property

The Service, including its design, features, software, algorithms, and trademarks, is owned by Pingalaa LLC and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Use our trademarks without permission
• Remove or alter any copyright or proprietary notices

7. Payment and Subscription

7.1 Fees

Certain features of the Service may require payment. You agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information
• Authorize us to charge your payment method

7.2 Subscription Plans

If you purchase a subscription:

• Billing Cycle: Subscriptions automatically renew unless canceled
• Price Changes: We may change prices with 30 days' notice
• Cancellation: You may cancel anytime; cancellation takes effect at the end of the current billing period
• Downgrades: Downgrading may result in loss of features or content

7.3 Refund Policy

• Free Trial: Cancel anytime during free trial without charge
• Subscriptions: No refunds for partial months or unused portions
• Special Cases: Refunds may be issued at our discretion for service failures or errors
• Refund Requests: Contact support@pingalaa.com within 7 days of charge

7.4 Taxes

You are responsible for any applicable taxes (sales tax, VAT, GST) unless we are legally required to collect them.

8. Third-Party Services

8.1 AI Providers

Our Service uses third-party AI providers (OpenAI and Anthropic). By using the Service, you acknowledge that:

• Your prompts and content are processed by these providers
• These providers have their own terms of service and privacy policies
• We are not responsible for the actions or policies of these providers
• Service availability may depend on these third-party providers

8.2 Other Third Parties

The Service may integrate with or link to third-party services (payment processors, analytics, etc.). Your use of third-party services is subject to their own terms and policies.

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.

10. Disclaimer of Warranties

• Accuracy: AI-generated content is accurate, complete, or reliable
• Availability: The Service will be uninterrupted or error-free
• Security: The Service is completely secure or free from viruses
• Results: Use of the Service will meet your requirements or expectations

You acknowledge that:

• AI-generated content may contain errors or inaccuracies
• You are responsible for reviewing and verifying all generated documents
• The Service may be unavailable due to maintenance, updates, or technical issues
• We do not guarantee compatibility with all file formats or systems

11. Limitation of Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF:

• The amount you paid us in the 12 months preceding the claim, OR
• $100 USD

This limitation applies to claims based on:

• Breach of contract
• Breach of warranty
• Negligence
• Strict liability
• Any other legal theory

We are not liable for:

• Loss of data or documents (maintain your own backups)
• Decisions made based on AI-generated content
• Third-party service failures (AI providers, hosting, etc.)
• Unauthorized access to your account due to your actions
• Downtime or service interruptions

Some jurisdictions do not allow limitation of certain warranties or liabilities, so some limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Pingalaa LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or documents generated using Your Content
• Your violation of applicable laws or regulations

13. Service Modifications and Termination

13.1 Service Changes

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service
• Change features, functionality, or pricing
• Impose limits on usage or features
• Update these Terms

We will provide reasonable notice of material changes when possible.

13.2 Termination by Us

We may suspend or terminate your access to the Service:

• For violation of these Terms
• For illegal or fraudulent activity
• For non-payment of fees
• For abuse of the Service
• At our discretion with or without cause

13.3 Termination by You

You may terminate your account at any time by contacting support@pingalaa.com. Upon termination:

• Your access to the Service will cease
• Your data may be deleted after a grace period
• You will not receive refunds for any prepaid fees
• You must stop using the Service

13.4 Effect of Termination

Upon termination:

• All licenses granted to you terminate
• You must cease all use of the Service
• We may delete Your Content (export your data before termination)
• Provisions that should survive termination will remain in effect

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing a claim, you agree to contact us at legal@pingalaa.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes.

14.3 Arbitration Agreement

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except:

• Small claims court disputes (under $10,000)
• Intellectual property disputes
• Disputes seeking injunctive relief

Class Action Waiver: You agree that disputes must be brought on an individual basis and not as part of a class action.

14.4 Jurisdiction and Venue

For disputes not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in DuPage County, Illinois.

15. General Provisions

15.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Pingalaa LLC regarding the Service.

15.2 Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms with a new "Last Updated" date
• Sending email notification
• Displaying a prominent notice in the Service

Continued use after changes constitutes acceptance of the new Terms.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.4 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.5 Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.6 Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control (natural disasters, war, pandemics, internet outages, third-party service failures, etc.).

15.7 Export Control

You agree to comply with all applicable export control laws and regulations.

15.8 U.S. Government Rights

If you are a U.S. government entity, the Service is a "commercial item" as defined in FAR 2.101.
